Corporate Formation Flat Fee Packages
Forming a corporation involves much more than simply filing the Articles of Incorporation with the Secretary of States office. If all you have is a Certificate of Incorporation, you have not properly formed your corporation, you have not properly maintained the corporation and you run a great risk that the activities of the corporation will be found to be unauthorized. The most severe result would be that a court would find that the corporation is not vaild ("piercing the corporate veil") which would mean that the owners of the company have lost the protection of the corporation.
Even those corporations that were formed with all of the required documentation, it is important to make sure that the content of those documents are correct and are appropriate for your business. A generic form may fit your business but it often does not. The following are issues that often must be considered:
- What happens if an owner wants to leave?
- What happens if an owner dies or goes through a divorce?
- Is money being put into the company by owners capital contributions or loans?
- What are the tax ramifications of using this type of business entity versus a limited liability company?
- Should you set up one over-all corporation or is it better to create a number of companies?
- What is a fair way to value the stock of the company?
- Are owners to be required to provide labor or services to the company?

Does the company have the right to buyout that owner? At what price and on what terms? Are there situations where an owner can be forced to sell their interest in the company (i.e., bankrupcty, divorce, etc.)? A Buy-Sell Agreement is essential for avoiding a messy, expensive fight down the road that cna destroy the company.
